Goldeye Private Placements
Goldeye is pleased to announce that it completed an arm's length private placement on December 30, 2005 for gross proceeds of $124,000, subject to acceptance by the TSX Venture Exchange. 688,889 units are to be issued at a price of $0.18 per unit. Each unit consists of one common share and one-half of one non-transferable common share purchase warrant. Each common share purchase warrant entitles the holder to purchase an additional common share at $0.25 per share for a two-year period. An 8% commission is payable to a registered dealer in connection with $18,900 of the proceeds, resulting in total commissions of $1512.
On December 29, 2005, Goldeye completed another arm's length private placement for gross proceeds of $200,000. 1,111,112 units were issued at a price of $0.18 per unit. Each unit consists of one common share and one non-transferable common share purchase warrant. Each common share purchase warrant entitles the holder to purchase an additional common share at $0.25 per share for a two-year period. A finder's fee of 10% was payable in cash and 111,111 compensation warrants were issued. Each warrant entitles the holder to purchase an additional common share for a two- year period at $0.25 per share.
Goldeye previously announced its intention to complete these private placements on December 23, 2005.
The securities are subject to four-month hold periods expiring respectively on April 30 and 29, 2006.
Proceeds are to be used to finance Goldeye's drill programs on its Tyrrell Twp. and Fawcett Twp. properties in NE Ontario and survey work on its Gold Rock property in NW Ontario.
